1. Description of Service

Superposition is an AI-powered software platform that assists founders and hiring managers ("Users") by automating aspects of the recruiting funnel, including but not limited to candidate sourcing, email outreach, inbox monitoring, and interview scheduling. The Service uses AI and integrations with third-party services (like Google Workspace) to perform these functions on your behalf.

2. User Accounts & Responsibilities

• Account Creation: You must provide accurate and complete information to create an account. You are responsible for safeguarding your account credentials and for all activities that occur under your account.
• Third-Party Integration: To use the full functionality of the Service, you must authorize Superposition to access certain third-party accounts, such as your Google Workspace account (Gmail, Calendar). You grant us permission to act on your behalf within these services as required to provide our Service, subject to the permissions you grant.
• Acceptable Use: You agree not to misuse the Service. You will comply with all applicable laws regarding your use of the Service, including but not limited to anti-spam laws (e.g., CAN-SPAM), privacy laws (e.g., GDPR, CCPA), and employment laws. You are solely responsible for the content of your communications and for ensuring you have a legal basis to contact candidates.
• Prohibited Activities: You will not use the Service to:
  • Send unsolicited bulk email (spam) or engage in any activity that could harm our sending reputation.
  • Transmit any material that is unlawful, harassing, defamatory, or infringing on the rights of others.
  • Attempt to gain unauthorized access to the Service, other accounts, or our computer systems.

3. Data and Ownership

• Your Data: You retain all ownership rights to the data you provide to the Service, including information about job postings and candidates ("Your Data"). You grant us a limited license to use Your Data solely for the purpose of providing and improving the Service.
• Candidate Data: You are the data controller for any personal data of candidates that is processed through the Service. You represent and warrant that you have obtained all necessary consents and have a lawful basis for processing candidate data via our platform.
• Our Intellectual Property: We own all rights, title, and interest in and to the Service, including all underlying software, AI models, and documentation. These Terms do not grant you any rights to our trademarks or other intellectual property.

4. Fees and Payment

You agree to pay all applicable fees for the Service as described on our pricing page. All fees are non-refundable except as required by law.

5. Termination

We may suspend or terminate your access to the Service at any time, with or without cause. You may also terminate your account at any time. Upon termination, your right to use the Service will immediately cease, and we may delete Your Data in accordance with our data retention policies.

6. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT ANY WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

7. General Provisions

• Governing Law: These Terms shall be governed by the laws of State of Delaware, without regard to its conflict of law provisions.
• Changes to Terms: We may modify these Terms from time to time. We will provide notice of any material changes. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
